Please read these Terms and Conditions (the "Terms") carefully before using the website italia-trade.net. By accessing or using the website, you agree to be bound by these Terms. If you do not agree, you must not use the website.

1. About us

1.1. The website italia-trade.net (the "Website") is owned and operated by MPIS Reloaded OÜ, a private limited company registered in the Republic of Estonia, registry code 17467618, with its registered address at Pärnu mnt. 139b - 14, Tallinn, 11317, Estonia ("MPIS Reloaded", "we", "us" or "our").

2. Definitions

In these Terms:

• "Website" means italia-trade.net, including all its pages, subdomains, content and features.
• "Service" means the online directory service provided through the Website, consisting solely of the listing and display of products and companies.
• "Vendor" means any company, business or person that lists, or requests to list, its company profile and/or products on the Website.
• "Buyer" means any person or business that uses the Website to search for, view or contact Vendors or their products.
• "User" means any person who accesses or uses the Website, including Vendors and Buyers.
• "Listing" means any company profile, product description, image, price, specification or other content published on the Website by or on behalf of a Vendor.

3. Nature of the Service

3.1. italia-trade.net is a directory of products and companies for export. The Service is limited exclusively to listing products and companies so that Buyers can find them.

3.2. italia-trade.net is not an intermediary, agent, broker, distributor, marketplace or party to any transaction. We do not sell, buy, resell, ship, store, inspect or certify any product, and we do not negotiate, conclude, facilitate or execute any contract between Buyers and Vendors.

3.3. Buyers contact Vendors directly. Any communication, negotiation, quotation, order, payment, delivery, customs clearance, export or import formality, after-sales service or dispute takes place solely and directly between the Buyer and the Vendor.

3.4. We do not handle, receive or hold any payment on behalf of Buyers or Vendors, and we do not provide escrow, payment protection, insurance, trade financing or guarantees of any kind.

3.5. The appearance of a Vendor or product on the Website does not constitute an endorsement, recommendation, certification or guarantee by italia-trade.net or MPIS Reloaded OÜ.

4. No responsibility for transactions and relationships between Buyers and Vendors

4.1. italia-trade.net and MPIS Reloaded OÜ take no responsibility whatsoever in relation to any transaction or relationship between Buyers and Vendors, whether commercial, contractual, legal or otherwise.

4.2. Without limitation, we are not responsible for:

• the identity, existence, legitimacy, solvency, licences, authorisations or good faith of any Buyer or Vendor;
• the quality, safety, legality, origin, conformity, labelling, certification or description of any product;
• the accuracy, completeness or timeliness of prices, availability, specifications or other information in any Listing;
• the performance, non-performance or late performance of any agreement between Buyers and Vendors, including delivery, payment, returns and warranties;
• compliance with export, import, customs, sanctions, tax, product-safety or any other laws applicable to a transaction.

4.3. Buyers and Vendors are solely responsible for carrying out their own due diligence before entering into any transaction, including verifying the identity and reliability of the other party, requesting references and documentation, and using secure payment methods.

4.4. Any dispute between a Buyer and a Vendor must be resolved directly between them. We have no obligation to intervene in, mediate or resolve any such dispute, although we may, at our discretion, review a complaint about a Listing under Section 7.

5. Trade fraud and other risks

5.1. Users acknowledge that international trade involves risks, including fraud, misrepresentation, non-payment, non-delivery, counterfeit goods and identity theft.

5.2. italia-trade.net and MPIS Reloaded OÜ will not be liable for any losses caused by trade fraud, and/or any other losses resulting from using the Website, whether as a Vendor or as a Buyer.

5.3. We recommend that Users never send payment or sensitive information without independently verifying the other party, be cautious of offers that seem unusually favourable, and report suspicious Listings or behaviour to us via https://mpisr.com. Reporting a concern does not create any obligation or liability on our part.

6. Vendor obligations

6.1. By submitting a Listing, the Vendor represents and warrants that:

• it is a genuine, lawfully established business and has the right to offer the listed products;
• all information in its Listing is true, accurate, complete and kept up to date;
• its products and Listing comply with all applicable laws, including laws on product safety, labelling, intellectual property, consumer protection, export controls and sanctions;
• it holds all rights to the text, images, trademarks and other content it submits, and that such content does not infringe the rights of any third party.

6.2. The Vendor grants MPIS Reloaded OÜ a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, adapt (for formatting purposes) and publish its Listing content on the Website and in promotion of the Website, for as long as the Listing remains on the Website.

6.3. The Vendor is solely responsible for its Listings and for all dealings with Buyers.

7. Acceptable use and removal of content

7.1. Users must not use the Website to:

• publish false, misleading, fraudulent, unlawful, defamatory or offensive content;
• list counterfeit, prohibited, sanctioned or illegal products;
• impersonate any person or business;
• send spam or unsolicited bulk communications to other Users;
• scrape, harvest or copy data from the Website by automated means without our prior written consent;
• interfere with the security or proper functioning of the Website, or introduce viruses or other harmful code.

7.2. We may, at our sole discretion and without prior notice, refuse, edit, suspend or remove any Listing or block any User where we believe these Terms have been breached, where we receive a complaint, or for any other legitimate reason. We are not obliged to monitor Listings, and the absence of action does not mean we approve of any content.

8. Disclaimer of warranties

8.1. The Website and the Service are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of accuracy, reliability, availability, fitness for a particular purpose or non-infringement.

8.2. We do not guarantee that the Website will be uninterrupted, error-free or free of viruses, or that any Listing will generate contacts, enquiries or sales.

9. Limitation of liability

9.1. To the maximum extent permitted by applicable law, italia-trade.net and MPIS Reloaded OÜ, including their directors, employees and partners, shall not be liable for any direct, indirect, incidental, special, consequential or punitive damages, or for any loss of profit, revenue, business, goodwill, data or opportunity, arising out of or in connection with:

• the use of, or inability to use, the Website;
• any Listing or other content published on the Website;
• any transaction, communication or relationship between Buyers and Vendors;
• any trade fraud, misrepresentation or unlawful act of any User or third party.

9.2. Use of the Website is entirely at the User's own risk. To the maximum extent permitted by applicable law, italia-trade.net and MPIS Reloaded OÜ exclude all liability towards any User or third party, of any kind and however arising, whether in contract, tort (including negligence), breach of statutory duty or otherwise, and no compensation of any amount shall be payable.

9.3. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for intentional misconduct or gross negligence.

10. Indemnity

Users agree to indemnify and hold harmless MPIS Reloaded OÜ and italia-trade.net from any claims, damages, losses, costs and expenses (including reasonable legal fees) arising from their use of the Website, their Listings, their breach of these Terms, or their dealings with other Users.

11. Intellectual property

11.1. All content of the Website other than Vendor Listings, including its design, structure, logos, text and software, is owned by or licensed to MPIS Reloaded OÜ and is protected by intellectual property laws.

11.2. You may view and print pages of the Website for your own business use. You must not otherwise copy, reproduce, distribute or exploit Website content without our prior written consent.

12. Third-party links

The Website may contain links to Vendor websites or other third-party sites. We have no control over and accept no responsibility for the content, products, services or privacy practices of any third-party site.

13. Personal data

13.1. We process personal data in accordance with the EU General Data Protection Regulation (GDPR).

13.2. Vendors must use company information only. When creating a company profile or Listing, Vendors are obliged to provide business information exclusively, such as the company name, a generic company email address (for example, info@ or sales@), the company's business address and business telephone number. Vendors must not submit any personal data, including names of individuals, personal email addresses (for example, name.surname@), personal telephone numbers, photographs of individuals or any other information relating to an identified or identifiable natural person.

13.3. Public display of contact information. The company name and email address provided by the Vendor will be published on the Website together with its products, for the purpose of allowing Buyers to contact the Vendor directly. By submitting a Listing, the Vendor acknowledges and agrees to this publication.

13.4. Search engines and third parties. Information published on the Website is publicly accessible and will be indexed and cached by search engines (such as Google and Bing) and may be copied by other third-party services. MPIS Reloaded OÜ has no control over such indexing, caching or copying, and cannot remove information from search engines or third-party sites, even after a Listing has been edited or deleted from the Website. For this reason, only company information must be used.

13.5. If a Vendor submits personal data in breach of Section 13.2, it does so at its own risk and responsibility. MPIS Reloaded OÜ accepts no liability for the publication, indexing or caching of such data, and may edit or remove any Listing containing personal data. Companies are verified after the registration.

13.6. When a Buyer contacts a Vendor, the Buyer's contact details and message are shared with that Vendor, who becomes responsible for its own processing of that data.

14. Changes to the Service and to these Terms

14.1. We may modify, suspend or discontinue the Website or any part of the Service at any time.

14.2. We may update these Terms from time to time. The updated Terms will be published on this page with a new "Last updated" date. Continued use of the Website after changes are published means you accept the updated Terms.

15. Governing law and jurisdiction

15.1. These Terms are governed by the laws of the Republic of Estonia.

15.2. Any dispute arising out of or in connection with these Terms or the use of the Website shall be resolved by the competent courts of Estonia, with Harju County Court (Harju Maakohus) as the court of first instance, unless mandatory law provides otherwise.

16. General provisions

16.1. If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

16.2. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

16.3. These Terms constitute the entire agreement between you and MPIS Reloaded OÜ regarding the use of the Website.

16.4. These Terms may be provided in several languages. In case of any inconsistency, the English version prevails.
